Terms of Service

Acceptance of Terms

These Terms of Service (“Terms”) are entered into between you and Spark Games Ltd, a company registered in England and Wales (“we”, “us”, “our”). By accessing and using this service, you accept and agree to be bound by these Terms. If you do not agree, please do not use this service.

Description of Service

We provide a payment processing backend service that handles subscriptions, one-time payments, and customer management through Stripe integration.

User Accounts

When you create an account with us, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use
  • Accept responsibility for all activities under your account

Subscriptions & Payments

Subscription terms vary by plan. By subscribing, you agree to:

  • Pay all fees associated with your subscription
  • Automatic renewal unless canceled before the renewal date
  • No refunds for partial subscription periods unless required by law
  • Price changes with 30 days notice for existing subscriptions

Free Tier & Fair Use

The free tier is provided to let you evaluate the service. It is subject to the following limits:

  • One (1) hosted application
  • Up to $500 USD equivalent in total processed revenue per calendar month
  • AI-powered features (competitor analysis, plan suggestions) are not included

We reserve the right to suspend or restrict free-tier accounts that exceed these limits, are used for commercial resale of platform access, or place unreasonable load on the service. If your usage exceeds the free-tier allowance, we will notify you and offer a paid upgrade path before taking any action.

Trial Periods

Some subscriptions may include a free trial period. You will not be charged until the trial period ends. You may cancel anytime during the trial without being charged. If you do not cancel before the trial ends, you will be automatically charged for the subscription.

Cancellation & Refunds

You may cancel your subscription at any time through the customer portal or by contacting support. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refunds for the current billing period
  • Automatic renewal will be disabled
  • Your account data will be retained according to our Privacy Policy

Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Use the service to send spam or malicious content
  • Share your account credentials with others
  • Reverse engineer or attempt to extract source code

Payments & Connected Accounts

Payments are processed through Stripe. When you connect a Stripe account to collect payments, you additionally agree that you are responsible for:

  • Refunds, chargebacks, disputes, and any related fines arising from your sales
  • Ensuring you do not operate in a restricted business category or sell restricted or prohibited products
  • Providing accurate business and tax information and complying with Stripe's Connected Account Agreement
  • Supporting your own customers and resolving payment-related inquiries

A platform fee may apply to processed revenue as described in your plan. You authorize us to deduct applicable fees and to reverse transfers as needed to settle refunds and disputes.

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may temporarily suspend service for maintenance, updates, or unforeseen circumstances.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Intellectual Property

All content, features, and functionality of this service, including but not limited to the software, source code, design, text, graphics, and trade marks, are the exclusive property of Spark Games Ltd and are protected by copyright and other intellectual property laws of England and Wales and applicable international treaties. Nothing in these Terms transfers any intellectual property rights to you.

Unauthorised copying, modification, distribution, or use of any part of this service is strictly prohibited and may result in civil and criminal liability.

Source Code Licence

If you have purchased access to the SparkPay source code repository on GitHub, your use of that source code is governed exclusively by the SparkPay Commercial Source Licence included within the repository. By accepting repository access, you agree to the terms of that licence.

The following restrictions apply to all source code purchasers without exception:

  • You may not resell, sublicense, or redistribute the source code
  • You may not share or transfer your repository access to any third party
  • You may not use the source code to create a competing boilerplate or template product for resale
  • Breach of these terms will result in immediate revocation of access

Data & Privacy

Your use of the service is also governed by our Privacy Policy. By using the service, you consent to our collection and use of your data as described in the Privacy Policy.

Termination

We reserve the right to suspend or terminate your account if you violate these terms or engage in fraudulent activity. Upon termination, your right to use the service will immediately cease.

Changes to Terms

We may revise these terms from time to time. The most current version will always be available on this page. By continuing to use the service after changes are posted, you agree to be bound by the revised terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising out of or in connection with these Terms or the use of this service.
